Welcome to INVIZD (operated by Arkra LLC). Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before using the INVIZD website, hardware devices, and associated software applications (collectively, the “Service” or “Product”).
By accessing or using the Service, or by purchasing our Hardware, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.
1. GOVERNING LAW AND DISPUTE RESOLUTION
1.1. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
1.2. Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, or termination thereof, including whether the claims asserted are arbitrable, will be referred to and finally determined by binding arbitration administered in accordance with the rules of the American Arbitration Association. You agree that you and Arkra LLC are each waiving the right to a trial by jury or to participate in a plaintiff class action.
1.3. Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class action-basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
2. PRODUCT DESCRIPTION AND LIMITATIONS
The INVIZD Product consists of tamper-resistant hardware with biometric access control, enterprise-grade encryption, and a user-controlled peer-to-peer network. It is engineered to enable users to maintain strong control over their data and significantly reduce their visibility to centralized surveillance, data brokers, and third-party tracking by keeping all content and encryption keys exclusively on the physical device with no cloud intermediaries.
This architecture supports a more private digital experience compared to traditional cloud-based services. However, no security product can guarantee absolute invisibility, complete anonymity, or protection against all possible threats. INVIZD does not protect against:
• Physical access to, theft, loss, or seizure of the hardware device
• User choices or errors, including sharing access credentials or adding untrusted peers
• Advanced targeted attacks, forensic analysis of the device, or coercion
• Metadata that may be observable during peer-to-peer communications (users may choose to layer additional tools such as VPNs or Tor for further protection)
The Product is provided “as is” without any warranties, express or implied, regarding absolute privacy outcomes, undetectability, or specific security results. Protection depends on proper configuration, responsible use, and your individual threat model. 3. HARDWARE, SHIPPING, AND RETURNS
3.1. 30-Day Money-Back Guarantee
If you are not satisfied with your INVIZD device, you may request a return within 30 days of the delivery date for a potential refund of the purchase price (excluding any original shipping fees or taxes).
Conditions (All Returns):
• The device must be returned in its original, unopened or like-new condition, including all original packaging, accessories, manuals, and components, with no signs of use, wear, scratches, fingerprints, or damage.
• You are solely responsible for proper packaging and ensuring the device arrives undamaged. Any damage during return transit will result in denial of the refund or deduction of repair/replacement costs.
• All returns require a prior Return Merchandise Authorization (RMA) number issued by us. Returns sent without an RMA may be refused or subject to additional fees.
Shipping Costs:
• We cover return shipping costs only for qualifying returns originating within the contiguous United States, using our designated carrier and label.
• For all other locations (including Alaska, Hawaii, and the European Union), and for any non-qualifying returns, you are solely responsible for all return shipping costs, insurance, duties, taxes, and related fees.
• We strongly recommend full insurance and tracking for all international returns.
Refund Processing: We reserve the right to inspect the returned device and deny or issue a partial refund (at our sole discretion) if it does not strictly meet the above conditions. Approved refunds will be processed within 14–30 business days after receipt and inspection. Original shipping fees and any promotional discounts are non-refundable.
3.2. International Shipping & Customs
INVIZD ships worldwide. For all orders shipped outside the United States:
• You (the buyer) are solely responsible for any and all VAT, tariffs, duties, taxes, handling fees, customs clearance charges, brokerage fees, and other import- or export-related costs imposed by your country or any intermediary country. These amounts are not included in the product price or shipping cost and will not be collected by us.
• We provide no estimates or advice regarding such costs or clearance requirements.
• Delivery times are estimates only. We are not liable for any delays, losses, or damages caused by customs authorities, import/export restrictions, or carrier issues.
Force Majeure (Shipping Delays):
We shall not be liable for any failure or delay in shipping, delivery, or performance of our obligations under these Terms if such failure or delay is caused by events beyond our reasonable control, including but not limited to: acts of God, natural disasters, floods, earthquakes, fires, pandemics, epidemics, war, terrorism, riots, civil unrest, embargoes, government actions or regulations (including export/import restrictions or sanctions), strikes, labor disputes, shortages of materials or labor, transportation disruptions, port closures, customs delays, or failures of third-party carriers or suppliers. In such events, our performance shall be excused for the duration of the force majeure, and delivery timelines shall be extended accordingly. If the force majeure event continues for more than sixty (60) days, we may cancel the order and issue a refund of amounts paid, less any non-refundable costs already incurred.
3.3. Limited 2-Year Warranty
We warrant that the hardware will be free from defects in material and workmanship for a period of two (2) years from the date of delivery under normal use only. This is the sole and exclusive warranty; all other warranties, express or implied (including merchantability or fitness for a particular purpose), are disclaimed to the fullest extent permitted by law.
What is Covered: Only manufacturing defects in materials and workmanship that are reported promptly with proof of purchase.
What Voids the Warranty: This warranty is immediately void if the device has been:
• Exposed to water, liquids, extreme temperatures, or environmental damage.
• Subject to physical abuse, dropping, crushing, misuse, or accident.
• Tampered with, including opening the chassis or breaking security seals.
• Used with non-approved power adapters, voltage converters, or accessories.
• Modified in hardware or firmware without our explicit written authorization.
• Used outside normal consumer or intended business conditions.
Warranty Claims Process (All Customers):
• You must obtain an RMA number before returning any device.
• For international customers, you are responsible for all outbound shipping costs, insurance, export duties, taxes, and customs fees to our service center. We will cover inbound return shipping of the repaired or replaced unit only within the contiguous United States. For all other destinations, you bear all return shipping and related costs.
• We will make commercially reasonable efforts to repair or replace the device (at our sole option) within 30–45 days of receipt. If repair or replacement is not feasible, we may, at our discretion, issue a refund of the original purchase price less depreciation (calculated at our reasonable discretion) or a pro-rated amount.
• We are not responsible for data loss during repair or replacement.
4. ZERO-KNOWLEDGE ARCHITECTURE & DATA LIABILITY
4.1. NO DATA RECOVERY & ZERO-KNOWLEDGE ARCHITECTURE
INVIZD utilizes a Zero-Knowledge security architecture. Your encryption keys are generated locally on your device and are never transmitted to Arkra LLC or any third party.
WE CANNOT RECOVER YOUR DATA. Access to your data relies entirely on your local credentials. If you lose access to the biometric authentication (e.g., fingerprint) used to initialize the Device, and/or lose access to the trusted devices connected to the Device, your data will be permanently lost. Arkra LLC is not responsible for any data loss resulting from lost credentials, user error, or failure to maintain backup access.
Hardware Warranty Exception: Notwithstanding the above, if you utilize an Arkra Hard Drive to backup your data and data loss occurs specifically due to a verifiable mechanical or electronic failure of the Arkra hardware under normal usage conditions, Arkra’s liability is limited as set forth in Clause 3.2.
4.2. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Arkra LLC, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, even if advised of the possibility of such damages.
Our total liability to you for any claim arising out of or relating to these Terms or the use of the Product is limited to the amount you actually paid for the Product. This limitation applies regardless of the legal theory (contract, tort, strict liability, etc.).
5. PILOT AND FOUNDING MEMBER PROGRAM
5.1. “As-Is” Disclaimer
If you are purchasing a “Founding Member” batch unit or participating in our Pilot Program, you acknowledge that the software and/or hardware is in a development or pre-release stage. The Product is provided on an “AS IS” and “AS AVAILABLE” basis without any warranties of any kind. It may contain bugs, errors, defects, or incomplete features, and you assume all risks associated with its use.
5.2. Feedback & Intellectual Property
We welcome your feedback, ideas, and suggestions for improvement (“Feedback”). By submitting Feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate it into our products without any restriction or compensation to you. You acknowledge that you have no intellectual property rights in any features or improvements we develop based on your Feedback.
6. SOFTWARE LICENSE
6.1. Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the software embedded in the Hardware solely for your personal or internal business use.
6.2. Restrictions
You may not:
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the software or hardware.
• Rent, lease, lend, sell, redistribute, or sublicense the software separately from the hardware.
• Attempt to bypass, disable, or tamper with the biometric, cryptographic, or any other security measures.
• Use the Product in any way that violates applicable laws or these Terms.
6.3. Updates
We may provide updates at our sole discretion. We do not guarantee the provision, frequency, or duration of any security updates or feature updates.
7. ACCEPTABLE USE POLICY
You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. Specifically, you agree not to use INVIZD to store, transmit, or distribute:
• Child Sexual Abuse Material (CSAM).
• Content related to terrorism or violent extremism.
• Malware, viruses, or code designed to disrupt services.
• Content that violates the intellectual property rights of others.
Acknowledgement of Anonymity:
You acknowledge that INVIZD is designed as a privacy-preserving, zero-knowledge system. We do not and cannot monitor user activity, decrypt content, or maintain logs linking specific users to specific devices. By accepting this Agreement, you take sole responsibility for ensuring your use of the Product complies with all applicable laws and the restrictions set forth above. INVIZD and Arkra LLC bear no liability for any prohibited or unlawful use of the Product.
8. EXPORT CONTROL AND SANCTIONS COMPLIANCE
The INVIZD Product (including hardware, software, firmware, and any related technology or technical data) is subject to United States export control laws and regulations, including but not limited to the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce, the International Traffic in Arms Regulations (ITAR) administered by the U.S. Department of State (if applicable), and economic sanctions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), as well as similar laws of other jurisdictions (collectively, “Export Control Laws”).
By purchasing, receiving, or using the Product, you represent and warrant that:
(a) You and any end-user are not located in, a resident or national of, or organized under the laws of any country or territory subject to comprehensive U.S. sanctions or embargoes (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, Kherson, and Zaporizhzhia regions of Ukraine, as such lists may be updated);
(b) You and any end-user are not identified on any restricted party lists maintained by the U.S. government or other applicable authorities, including the Denied Persons List, Entity List, Unverified List, or SDN List (or owned or controlled by such a party); and
(c) The Product will not be exported, re-exported, transferred, or used directly or indirectly in violation of any Export Control Laws, including for prohibited end-uses (such as military, nuclear, chemical, biological, or missile-related activities) or to prohibited end-users or destinations without all required government authorizations or licenses.
You agree to comply strictly with all applicable Export Control Laws in connection with the Product. You shall not, and shall ensure that your customers, agents, and any downstream parties do not, sell, export, re-export, release, or otherwise transfer the Product (or any portion thereof) without first obtaining all necessary licenses, authorizations, or exemptions. You are solely responsible for determining and complying with any licensing or reporting requirements for any re-export or transfer.
You shall indemnify, defend, and hold harmless Arkra LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to any breach of this Section or any violation of Export Control Laws by you or any party acting on your behalf or receiving the Product through you.
We reserve the right to refuse or cancel any order, suspend delivery, or terminate your access if we reasonably believe a violation of Export Control Laws may occur. Fulfillment of orders is also subject to the absence of any legal or regulatory obstacles under applicable export, sanctions, or trade laws.
9. CONNECTIVITY SERVICES
9.1. Connection Availability
INVIZD may provide connectivity services to broker connections and support certain features. We will use commercially reasonable efforts to maintain availability; however, we do not guarantee uninterrupted or error-free operation. We are not responsible for interruptions due to scheduled maintenance, internet or network issues, force majeure events, or failures of third-party providers.
